1. Legal Due Diligence (M&A) 
   • Conduct comprehensive legal due diligence for merger, acquisition, and investment transactions. 
   • Identify legal risks, liabilities, and compliance gaps, and provide actionable recommendations. 
   • Review transaction documents, including SPA, SHA, and other related agreements. 
   • Coordinate with internal stakeholders and external legal advisors during transaction processes. 
2. Corporate Legal 
   • Manage corporate legal documentation, including Board Resolutions, Shareholders’ Resolutions, and company licenses. 
   • Ensure compliance with applicable laws and regulations, including corporate governance requirements. 
   • Support corporate actions such as restructuring, licensing, and changes in company structure. 
3. Capital Market 
   • Support legal aspects related to capital market activities (e.g., IPO, bond issuance, rights issue, etc.). 
   • Ensure compliance with regulatory requirements from OJK and other relevant authorities. 
   • Review disclosures, prospectuses, and legal documents related to capital market transactions. 
4. Advisory & Compliance  
   • Provide legal advice to internal stakeholders on various corporate and commercial matters. 
   • Monitor regulatory developments and ensure organizational compliance. 
   • Liaise with external counsel, regulators, and relevant authorities when required. 

Kualifikasi

1. Bachelor’s Degree in Law; Master’s Degree is an advantage. 
2. Minimum 5–8 years of experience in corporate legal, with exposure to M&A and/or capital markets. 
3. Strong understanding of Indonesian corporate law, investment regulations, and capital market frameworks (OJK). 
4. Experience in handling due diligence processes and transaction documentation. 
5. Strong analytical, drafting, and negotiation skills. 
6. Fluent in English and Bahasa Indonesia, both written and verbal.
